As a Director of BOCA can I reinforce what Michael has said Tony. Both
organisations are controlled by our members and we have AGMs at which
members can express their feelings and directors are of course able to be
voted out of office.

Whilst it is true that there are some differences of emphasis between the
organisations, we have been co-operating on many issues in recent times and
see this as the next logical step - if our members approve - and our members
will have to vote on this at a General Meeting.

Our main motive is the desire to see a unified presence when lobbying
governments and other organisations - a fragmented lobby is never as
impressive as a single voice. We recognise each others' strengths and
weaknesses and I believe that we can evolve a plan that will produced a
strengthened organisation that is good for birds and birding. 

There are clearly also many areas where we can be more efficient as a single
organisation - no need to run two head offices with two sets of computer
systems etc.

There are many issues to be resolved before a concrete proposal can be put
to our members - and they will have the final say. It is the job of the
current Boards of the two organisations to make sure that the proposal we
put before our members covers all of these points - they will have the final
say in this!

NO THE DECISION WILL NOT BE TAKEN BEHIND CLOSED DOORS.

The joint letter by the two Presidents emphasise what is the legal
situation: there will be votes at General Meetings of both BOCA and BA.

I am pretty sure that both are required by their constitutions to give
notice by post of GM's and the resolutions to be considered, and to accept
postal (proxy) votes.

Further the Presidents have invited members to send in their views (via
CEOs) to guide a Working Party due to report in late February.  There may be

another report by the Working Party as the letter (dated 27 January) says
views will help it "over the next two months".

I've copied this to the CEOs in case they wish to clarify.
