Forget setserial, use getty. For com2, in /etc/inittab use:

#
# Start console logins on both COM Ports
#
lgn0:12345:respawn:/sbin/getty -L 115200 ttyAM0
# Disable COM2 logins, but set baud rate
com2:12345:once:/sbin/getty -L -n -t 1 1200 ttyAM1
#lgn1:12345:respawn:/sbin/getty -L 115200 ttyAM1
