Trust for Nature (Victoria)

Position Description and Background Information

Objectives of the Trust for Nature (Victoria)
The Trust for Nature (Victoria) (the Trust) is a non-profit, body
corporate
established under the Victorian Conservation Trust Act 1972. The Trust’s
mission is to ensure all significant natural areas in private
ownership in
Victoria are conserved into the future.  In Victoria 65% of land is
privately owned, 95% of which has been cleared for agricultural purposes
and urban development. The remaining 5% of native bushland is at risk of
being cleared or degraded.  The Trust for Nature (Victoria) focuses on
landscape scale conservation by tailoring their conservation approaches
through the use of Land Purchase, Conservation Covenants and a Revolving
Fund.

Trust Composition
The Board consists of at least six but not more than ten Trustees
appointed
by the Governor in Council on the recommendation of the Minister for
Environment and Climate Change, for a period of up to four years. The
Chairperson and Deputy Chairperson are elected by the Trustees from
amongst
their own number.

Members are selected on the basis of their skills and experience
across the
following areas:

•     Financial management or accounting
•     Legal affairs
•     Community liaison, education and/or training
•     Aboriginal cultural heritage
•     Knowledge of community interests and needs
•     Asset management
•     Fundraising and philanthropy
•     Business management
•     Tourism and marketing
•     Human resource management
•     Knowledge of the natural environment
•     Environmental management
•     Committee and meeting procedures and administration


The Victorian Government is committed to ensuring that the diversity of
statutory agency boards reflects the diversity of the Victorian
community.
The composition of the Board will reflect this commitment.

Role of the Trust
The principal role of the Board is to provide a coherent strategic
direction for the Trust.  Specific activities members are expected to
undertake are:
•     Have a high level of environmental awareness and a clear
commitment
to native vegetation protection.
•     Be familiar with the Victorian Conservation Trust Act 1972 and in
particular with the Trust's mission, vision, values and business plan.
•     Attend Board meetings regularly and ensure an effective corporate
governance process is in place.
•     Serve on appropriate sub-committees and attend Trust functions.
•     Familiarise themselves with all aspects of the Trust's operations.
This should include making visits to Trust-owned and covenanted
properties
and getting to know regional managers, members of management
committees and
covenantors.
•     Be responsible for the effective financial management of the
Trust.
•     Guide policy development in relation to the Trust's activities in
areas of land acquisition, management and covenanting and assist in its
implementation.
•     Encourage and support the Director and staff.
•     Provide support in the areas of advocacy and fundraising and be
directly involved in obtaining sponsorship and pro-bono assistance for the
activities of the Trust. Introduce individuals and organizations who can
help the Trust meet its goals.
•     Promote the Trust by raising awareness of its role amongst the
general public and specific interest groups including other
environmental
groups.

relationships with key stakeholders and corporations to ensure ongoing and
increased financial and shareholder support for the Trust, including
corporate sponsorship where possible.

Terms of Appointment
Members are appointed for terms of up to four years.

Annual Program
The Trust generally meets four times a year, sub-committees meet on a
further four occasions, and all meetings are held in the CBD.
Appointees to
public entities are expected to attend at least 75% of board meetings,
applicants should give careful consideration to the time commitment
required.

Remuneration
Trustees other than public sector employees (PSEs) may be entitled to
remuneration. Trustees and the Deputy Chairperson are entitled to be
paid
$226 per sitting day; the Chairperson is entitled to be paid $291 per
sitting day. All appointees are eligible to be reimbursed for reasonable
expenses such as for travelling, accommodation, meals (and other
incidental
expenses associated with attendance at meetings), or overnight absence from
home.

Public Sector Employees
Public Sector Employees (PSEs) may be entitled to receive remuneration for
their service on a government body if the appointment falls outside
their
normal duties.

A broad definition of PSE has been adopted for the purposes of the
payment
of remuneration and includes employees of a Government Department,
statutory body, instrumentality, board, Local Government, a member of
academic staff at any Australian institution of higher education, or
other
Government body.
